This Form 4 is being filed jointly by Western Refining Southwest, Inc. ("WRSW") and Giant Industries, Inc. ("Giant"). In connection with the closing of the initial public offering of the Issuer, pursuant to that certain Contribution, Conveyance and Assumption Agreement, by and among WRSW, the Issuer and other parties thereto, WRSW contributed certain assets to the Issuer and received 16,167,270 subordinated units representing a 35.4% limited partner interest in the Issuer. WRSW is a wholly owned subsidiary of Giant. Giant may be deemed to beneficially own WRSW's interest in the Issuer through its ability to control WRSW but disclaims beneficial ownership except to the extent of its pecuniary interest therein.
