     The Registrant is involved in a computer  conversion  which has resulted in
exceptionally  high demands on its accounting  department.  The accounting staff
has  experienced  high  turnover and has only been at full  strength for a short
period of time.

     The Registrant  anticipates  filing its Form 10-Q for the nine-months ended
June 30, 2000 on or before August 21, 2000.
