10-Q, N-SAR, or the transition report or portion thereof, could not be filed
within the prescribed time period.

      The registrant could not file its Form 10-QSB by the August 14, 1998
      deadline (prior to extension) because of the departure during the second
      quarter of its Chief Financial and Accounting Officer and the election of
      a new Chief Financial and Accounting Officer during the second quarter,
      caused delay in preparing its Form 10-QSB which could not have been
      eliminated without unreasonable effort and expense.

     Share for the three months and six months ended June 30, 1998 of $3.2
     million and $2.8 million and $0.36 and $0.32 compared to $1.2 million and
     $1.9 million and $0.21 and $0.36 in the comparable periods of the prior
     year.
