The Plan was approved and is administered by the Compensation Committee of the Board of Directors. The number of shares issued is determined by dividing the amount of the bonus by the fair market value of the Issuer's stock on the last day of the quarter for which the bonus is being paid. Filer acquired shares as consideration for a guarantee extended by him for the benefit of Exabyte Corporation. Options granted pursuant to the Company's Incentive Plan vest as to 2% per month over 50 months.
