Of total Series AA Convertible Preferred Stock indirectly beneficially owned by Meritage, 6,000 shares were purchased for $1,000 per share pursuant to a Securities Purchase Agreement date April 30, 2004. The remaining shares were issued as a result of the exchange of certain Series H and Series I Convertible Preferred Stock held indirectly beneficially by Meritage pursuant to certain exchange agreements entered into by the issuer and the Meritage investment funds.
