Item 8.01 Other Events.

On June 4, 2008, the Board of Directors of Borland Software Corporation (the "Company") authorized the Company to use up to $15,000,000 of its available cash to repurchase a portion of its outstanding 2.75% Convertible Senior Notes due February 15, 2012 at any time during the next six months in open market or privately negotiated transactions.
