           This Current Report on Form 8-K/A amends and restates in its entirety the Current Report on Form 8-K filed by Borland Software Corporation (“Borland”) on October 7, 2003, which report was erroneously filed under Item 7 of Form 8-K.

Item 12. Disclosure of Results of Operations and Financial Condition.

           On October 7, 2003, Borland issued a press release announcing its preliminary financial results for the quarter ended September 30, 2003. A copy of the press release is furnished as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
