Item 8.01 Other Events.

Southern District of Illinois Complaint

On August 8, 2008, a complaint seeking to be certified as a class-action was filed against YTB International, Inc. (the “Company”), three Company subsidiaries, and certain executive officers, in the United States District Court, Southern District of Illinois. The complaint alleges that the defendants violated the Illinois Consumer Fraud and Deceptive Business Practices Act. The Company believes it has meritorious defenses and intends to vigorously defend the case.

American Stock Exchange Application

On August 8, 2008, the Company’s application for listing on the American Stock Exchange, LLC (the “Exchange”) was withdrawn. The Company intends to continue its dialogue with the Exchange and will re-apply when the Company is in a position to do so.
