Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) Appointment of President

Effective October 15, 2009, the Board of Directors of Avatech Solutions, Inc. (the "Company") decided to separate the positions of Chief Executive Officer and President and then appointed Lawrence Rychlak, age 53, as the Company’s President. Mr. Rychlak will continue to serve as the Company’s Chief Financial Officer, a position he has held since May 2005. George Davis will continue to serve as the Company’s Chief Executive Officer. No changes in compensation or benefits are expected to result from these officer changes. Information regarding Mr. Rychlak’s business experience and compensation arrangement is provided in the sections of the Company’s definitive proxy statement filed on September 28, 2009 entitled "Executive Officers" and "Executive Compensation", which sections are incorporated herein by reference.

The Company issued a press release on October 15, 2009 announcing Mr. Rychlak’s appointment, a copy of which is filed herewith as Exhibit 99.1
