Item 8.01.    Other Events

On September 8, 2005, PW Eagle, Inc. announced in a press release that it intends to acquire the approximately 30% minority interest in its subsidiary, USPoly Company, that it does not already own. The transaction is expected to close within the next three to six weeks, if at all.
