Item 2.02 Results of Operations and Financial Condition.

On August 14, 2007, Cost-U-Less, Inc. issued a press release announcing its financial results for the second fiscal quarter ended July 1, 2007. In its press release, the Company reported for the second fiscal quarter net income of $683,000, or $0.16 per fully diluted share outstanding, compared to net income of $475,000, or $0.11 per fully diluted share outstanding, for the second quarter of fiscal 2006. A copy of this press release is furnished and attached hereto as Exhibit 99.1 and is incorporated herein by reference.
