ITEM 5.07. Submission of Matters to a Vote of Security Holders.

On June 28, 2013, Fortune Industries, Inc. (the “Company”) held its Annual Meeting of Shareholders (the “Meeting”). The matters voted upon were: (1) the re-election of David A. Berry and Richard F. Suja as directors of the Company and (2) the ratification of the appointment of Somerset CPAs as the Company’s independent registered public accounting firm for the Company’s fiscal year 2013. The results of the voting were as follows:

(1) Each of the nominees was re-elected as a director of the Company. The Company did not solicit proxies with respect to this meeting.

(2) The appointment of Somerset CPAs as the Company’s independent registered public accounting firm was ratified.
