Item 5.02  Departure of Directors or Principal Officers; Election of Directors;
           Appointment of Principal Officers.

     Effective  June 1, 2006,  the Board of Directors of American  Italian Pasta
Company (the  "Company")  appointed Mr. Ronald C.  Kesselman to fill an existing
vacancy on the Board of Directors.  Mr.  Kesselman fills a vacancy in a class of
directors  that will stand for  re-election at the Company's next Annual Meeting
of Stockholders.

     There have been no related party  transactions  between the Company and Mr.
Kesselman.  A copy of the press release  announcing this appointment is attached
hereto as Exhibit 99.1 and incorporated herein by reference.
