Item 2.02.  Results of Operations and Financial Condition.

On July 25, 2007, LifeCell Corporation (the “Registrant”) issued a press release regarding financial results for the second quarter ended June 30, 2007 and expected financial performance for 2007.  A copy of this press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.
