For your convenience, we have set forth below each of the Staffs comments in italicized text in the same numbered order in which they appear in your letter. The Companys response to each Staff comment follows immediately after the text of the corresponding comment.
The Company is requesting confidential treatment of the responses set forth in Attachment A to this letter (as detailed in the Companys written confidential treatment request accompanying Attachment A, which has been submitted under separate cover), pursuant to Regulation 200.83 of the Commission (17 C.F.R. §200.83).

| To the extent you used distinct criteria to limit the population of transactions exposed to the control deficiency, please clarify how you determined those criteria were appropriate and would not exclude transactions where there was a reasonable possibility that a misstatement would not have been prevented or detected. Such explanation would exclude management hindsight in considering limiting the magnitude based on the actual results of managements analysis when those transactions were exposed to the control deficiency based upon the criteria established for the magnitude analysis. |
