On November 16, 2009, Ronson Corporation (the "Company") issued a press release, furnished as Exhibit 99.1 and incorporated in this Item 2.02 by reference, announcing the Company's financial results for the quarter ended September 30, 2009. On November 20, 2009, the Company's management and the Audit Committee of the Company's Board of Directors determined that, as a result of a reevaluation of the Company's accounting classification of debt brought about by comments included in Comment Letters recently received by the Company from the Securities and Exchange Commission, the Company should restate its financial statements for the year ended December 31, 2008 included in the Company's Annual Report on Form 10-K for the period then ended so that approximately $5,296,000 previously classified as long-term debt will be reclassified as current liabilities. Consequently, the previously issued consolidated financial statements for the year ended December 31, 2008 should no longer be relied on. The Company's management and the Audit Committee have discussed these matters with Demetrius & Company, L.L.C., the Company's independent registered public accounting firm. The Company expects to file an amendment to its Annual Report on Form 10-K for the fiscal year ended December 31, 2008 as soon as possible after the Company has completed its analysis of the accounting debt classification issue which management expects will be within the next week.
