Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 17, 2007, the Board of Directors of Harvest Natural Resources, Inc. (the "Company") amended the bylaws of the Company, such amendment to be effective May 17, 2007. Article 6.1(a) was amended to allow the Company to issue uncertificated shares. A sentence is clarified in Article 6.2 regarding the transfer of stock represented by a certificate. The Restated Bylaws are attached to this Report as Exhibit 3.1.
