Explanatory Note

On August 24, 2015, TETRA Technologies, Inc. ("TETRA" or the "Company") filed a Current Report on Form 8-K announcing that its Board of Directors had appointed Joseph C. Winkler III as a member of the Board of Directors to fill the vacancy existing on its Board of Directors. This Current Report on Form 8-K/A is being filed by TETRA to amend the Current Report on Form 8-K filed on August 24, 2015, to provide disclosure of the Board of Directors’ subsequent appointment of Mr. Winkler to a certain committee of the Board of Directors.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 19, 2015, the Board of Directors appointed Joseph C. Winkler III as a member of the Audit Committee of the Board of Directors.
