The Company anticipates experiencing significant losses for fiscal 2000
as a result of the Company closing its domestic manufacturing and
distribution facilities, inventory adjustments and liquidations
associated therewith, warrant expense for instruments issued in the
fourth quarter, operational losses and property adjustments which reflect
the current market value decline of certain real estate and improvements.

The management of Innovo Group, Inc and its independent auditors have
not yet been able to finalize the audit of its financial statements for
the fiscal year ended November 30, 2000 without unreasonable effort and
expense largely due to the closure of the Company's domestic manufacturing
and distribution facilities, the reduction of the Company's corporate
workforce, the relocation and transition of the Company's accounting
department and the occurrence of certain transactions in the fourth
quarter of the fiscal year.
