State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Blue Ridge Bankshares, Inc. (the “Company”) is unable to file its Annual Report on Form 10-K for the year ended December 31, 2019 (the “2019 Form 10-K”) by the prescribed due date of March 30, 2020 without unreasonable effort or expense, as explained below.

Management of the Company has been working diligently to prepare the 2019 Form 10-K. However, there has been a delay in the collection and compilation of certain final financial and other information required to be included in the 2019 Form 10-K. Such delay is related, in part, to the Company’s December 15, 2019 acquisition of Virginia Community Bankshares, Inc. (the “VCB Acquisition”) and the related system-wide data conversion that occurred in January 2020. Management views the delay as administrative in nature stemming from the elevated volume of activity and operational changes in connection with the VCB Acquisition.

The 2019 Form 10-K will be filed as soon as possible and no later than the fifteenth calendar day following the prescribed due date of March 30, 2020.

The Company’s results of operations for the year ended December 31, 2019 that will be reported in the 2019 Form 10-K will be significantly different from the Company’s results of operations for the year ended December 31, 2018. The changes are attributable to significant organic growth in 2019 along with growth due to the VCB Acquisition that was completed on December 15, 2019. Specifically, the Company’s total assets, total deposits and total revenue increased substantially in 2019. On February 10, 2020, the Company released preliminary unaudited financial results for the quarter and year ended December 31, 2019. This preliminary information is subject to completion of audit procedures and may change in the Company’s 2019 Form 10-K.
