Pursuant to the Agreement and Plan of Merger signed and disclosed to the
markets in June 2006, and having obtained all necessary authorizations, Banco
Bilbao Vizcaya Argentaria, S.A. (BBVA) announces that today its acquisition of
State National Bancshares, Inc. has been completed. The total consideration
paid by BBVA in the transaction was approximately $483.7 million.
