RELEVANT EVENT

BBVA announced today the results on the invitations extended to holders outside the United States of certain of its lower Tier 2 securities to tender such securities to BBVA for cash pursuant to a unmodified Dutch-auction procedure. BBVA estimates that this transaction will generate a capital gain of approximately 85 million Euros.

The invitation has not being made, directly or indirectly, in the United States, and may not be accepted by any person located or resident in the United States.
