Item 1.01. Entry into a Material Definitive Agreement.

        On May 1, 2008, NTS Mortgage Income Fund, Inc. (the “Fund”) filed a current report on Form 8-K announcing that National City Bank notified the Fund it had agreed to extend the maturity date of the Fund’s Mortgage Note Payable from May 1, 2008 to August 31, 2008.  The previously filed Form 8-K stated that the documentation for this extension was in the process of being prepared and the Fund expected the documentation to be completed and executed within 30 days. A copy of the completed and executed documentation was received by the Fund on May 23, 2008 and is attached to this current report on Form 8-K as Exhibit 99.1 and is incorporated in its entirety in this Item 1.01 disclosure by reference.
