On May 25, 2018, Rite Aid Corporation (the “Company”) issued a notice of redemption for all $805,169,000 aggregate principal amount of its outstanding 6.75% Senior Notes due 2021 (the “Notes”) on June 25, 2018 (the “Redemption Date”). The redemption price for the Notes is equal to 101.688% of the principal amount of the Notes to be redeemed plus accrued and unpaid interest, if any, to but excluding the Redemption Date.

 

A copy of the press release announcing the redemption is attached hereto as Exhibit 99.1 and is incorporated into this Item 8.01 by reference.

Rite Aid Announces Intent to Redeem all of its Outstanding 6.75% Senior Notes Due 2021

 

CAMP HILL, Pa. (May 25, 2018) - Rite Aid Corporation (NYSE: RAD) today announced that it has issued a notice of redemption (the “Redemption”) for all $805,169,000 aggregate principal amount of its outstanding 6.75% Senior Notes Due 2021 (CUSIP No. 767754CG7) (the “Notes”) on June 25, 2018 (the “Redemption Date”). The redemption price for the Notes is equal to 101.688% of the principal amount of the Notes to be redeemed plus accrued and unpaid interest, if any, to but excluding the Redemption Date.
