Westwater Resources Overview

Westwater Resources, Inc. is a 40-year-old public company trading on the Nasdaq stock exchange under the symbol “WWR.” Originally incorporated in 1977 as Uranium Resources, Inc. to mine uranium in Texas, our company has been reborn as a diversified energy materials developer. Westwater now has a presence in uranium, lithium exploration, and battery-graphite materials. In addition, Westwater recently discovered significant vanadium concentrations at the Coosa Project in Alabama and has an exploration plan available to further investigate the size and extent of those concentrations.

Westwater holds battery-graphite development properties in Alabama, exploration properties with lithium exploration potential in Nevada and Utah, two idled uranium production properties in Texas and several uranium properties in Texas and New Mexico. Westwater ceased uranium production in 2009 due to reductions in the price of uranium, although Westwater’s uranium properties and facilities in Texas can be restarted once the price of uranium recovers to acceptable levels.

Effective August 21, 2017, we amended our certificate of incorporation to change our name from Uranium Resources, Inc. to Westwater Resources, Inc. to reflect our broader focus on energy materials exploration and development. Recent Developments

Issuance of Common Stock to Lincoln Park Capital. The Company is party to a Stock Purchase Agreement with Lincoln Park Capital, LLC (“Lincoln Park Capital”), whereby the Company may place up to $10.0 million in the aggregate of the Company’s common stock on an ongoing basis when required by the Company over a term of 24-months ending in June 2021, on the terms and conditions set forth in the Stock Purchase Agreement. On September 20, 2019, the SEC declared effective a registration statement on Form S-1 registering the resale by Lincoln Park Capital of up to 707,750 shares of the Company’s common stock. From September 21, 2019 through October 15, 2019, the Company has sold or agreed to sell 707,750 shares of its common stock to Lincoln Park Capital for aggregate gross proceeds of approximately $2.9 million.

 

Closing of Asset Sale. On March 5, 2019, the Company entered into an Asset Purchase Agreement with Uranium Royalty (USA) Corp. and Uranium Royalty Corp. (together “URC”) for the sale of four of the Company’s royalty interests on future uranium production from mineral properties located in South Dakota, Wyoming and New Mexico, as well as the remaining amount of a promissory note in the amount of $2.0 million, for $2.75 million, including $0.5 million paid at signing. On June 28, 2019, the Company and URC entered into an amendment to the Asset Purchase Agreement, which extended the date for closing from July

31, 2019 to August 30, 2019. In addition, URC delivered an additional $1.0 million as deposit to the Company upon signing the amendment, increasing the total deposit to $1.5 million.

 

On August 30, 2019, the closing under the Asset Purchase Agreement occurred, and the Company transferred ownership of the royalties and promissory note to URC in exchange for the final payment of $1.25 million. On October 16, 2019, the Company issued 46,636 shares of common stock to Cantor Fitzgerald & Co., the selling stockholder under this prospectus, for financial advisory services provided in connection with the transactions contemplated by the Asset Purchase Agreement.

MARKET FOR COMMON STOCK AND DIVIDEND POLICY

Our common stock is traded on the Nasdaq Capital Market under the symbol “WWR.” The last reported sale price of our common stock on October 16, 2019 on the Nasdaq Capital Market was $4.85 per share. As of February 15, 2019, there were 406 holders of record of our common stock.

Following the close of trading on April 22, 2019, the Company effected a one-for-fifty reverse stock split of its issued and outstanding common stock. The common stock commenced trading on the Nasdaq Capital Market on a split-adjusted basis upon the open of trading on April 23, 2019. Unless otherwise noted, all share and per share information in this prospectus has been adjusted to reflect the reverse stock split.

We have never declared or paid any cash dividend on our common stock, nor do we currently intend to pay any cash dividend on our common stock in the foreseeable future. We expect to retain our earnings, if any, for the growth and development of our business.

SELLING STOCKHOLDER

On October 16, 2019, we issued 46,636 shares of our common stock to Cantor Fitzgerald & Co. (“Cantor Fitzgerald”) in satisfaction of amounts due for advisory services provided pursuant to the terms of a letter agreement (the “Cantor Agreement”), dated March 4, 2015, between the Company and Cantor Fitzgerald. Under the Cantor Agreement, Cantor Fitzgerald provided financial advisory services to the Company in connection with the Company’s sale of certain assets to Uranium Royalty (USA) Corp. and Uranium Royalty Corp. (together “URC”). On March 5, 2019, the Company entered into an Asset Purchase Agreement with URC for the sale of four of the Company’s royalty interests on future uranium production from mineral properties located in South Dakota, Wyoming and New Mexico, as well as the remaining amount of a promissory note. On August 30, 2019, the closing under the Asset Purchase Agreement occurred. Pursuant to the Cantor Agreement, Cantor Fitzgerald became entitled to an advisory fee of $280,000 upon the closing, $140,000 of which the Company paid in cash. Cantor Fitzgerald accepted 46,636 shares in lieu of the remaining $140,000 due under the Cantor Agreement at a value of approximately $3.002 per share, which shares were issued on October 16, 2019.
