EXPLANATORY NOTE

This Post-Effective Amendment No. 44 to the Registration Statement on Form N-4 is being filed pursuant to paragraph (b)(1)(iii) of Rule 485 under the Securities Act of 1933 (the “1933 Act”) for the sole purpose of designating a new effective date for the previously filed Post-Effective Amendment No. 43 to the Registration Statement filed under Rule 485(a)(1) of the Securities Act of 1933 on September 15, 2020.  Because no other changes are intended to be made to Post-Effective Amendment No. 43 by means of this filing, Parts A, B and C of Post-Effective amendment No. 43 are incorporated herein by reference.
