Item 5.03 Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year

On July 29, 2020, the Board of Directors of Delmar Bancorp (the “Company”) adopted resolutions to amend the Articles of Incorporation and Bylaws of the Company to change the name of the Company to “Partners Bancorp.” The Company expects the amendment of the Articles of Incorporation and the Bylaws to become effective as of August 19, 2020.

The Company issued a press release regarding the change of the Company’s name. A copy of the Company’s press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 5.03.
