Item 1.01 Entry into a Material Definitive Agreement.

On December 15, 2008 and effective as of December 10, 2008, Helix BioMedix, Inc. (the “Company”) entered into a First Amendment to First Amended and Restated License Agreement (the “Amendment”) with Grant Industries, Inc., which amends the First Amended and Restated License Agreement between the parties dated September 12, 2007 (the “Agreement”). Among certain other amendments, the Amendment adds four additional Company peptides to the scope of the license grant under the Agreement, on an exclusive basis (subject to certain limitations), and extends the initial term of the Agreement from December 31, 2009 to December 31, 2011.
