Item 3.02 Unregistered Sales of Equity Securities.

On March 5, 2007, Helix BioMedix, Inc. (the “Company”) consummated the sale of an aggregate of 2,666,666 shares of its Common Stock to three accredited investors at a purchase price of $0.75 per share for an aggregate purchase price of $1,999,999.50. This sale was exempt from registration pursuant to Rule 506 of Regulation D under Section 4(2) of the Securities Act.
