Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 16, 2005, Helix BioMedix, Inc. (the “Company”) announced that Richard M. Cohen has been appointed to the Company’s Board of Directors as a Class I Director and to the Audit Committee of the Company’s Board of Directors effective as of December 14, 2005. A copy of the press release announcing this appointment is being filed as Exhibit 99.1 hereto and is incorporated herein by reference.
