Item 5.    Other Events.

On October 24, 2002, BSB Bancorp, Inc. (“BSB Bancorp”) issued a press release describing its results of operations for the third quarter of 2002 and announcing a new stock repurchase program providing for the repurchase of up to 5 percent of BSB Bancorp’s currently issued and outstanding shares of common stock. That press release is filed as Exhibit 99.1 to this report. On October 25, 2002, BSB Bancorp held an analyst conference call during which BSB Bancorp discussed its third quarter results. The text of management’s presentation for that call is filed as Exhibit 99.2 to this report.
