AMENDMENT NO. 23 

TO THE 

AMENDED AND RESTATED MASTER DISTRIBUTION AGREEMENT

This Amendment, dated as of September 10, 2024, amends the Amended and Restated Master Distribution Agreement (the “Agreement”), dated July 1, 2020, by and between each Delaware statutory trust set forth on Schedule A to the Agreement (each, a “Trust”), on behalf of itself and its series portfolios, severally, and Invesco Distributors, Inc., a Delaware corporation (the “Distributor”).

W I T N E S S E T H:

WHEREAS, the parties desire to amend the Agreement to change the name of Invesco Capital Appreciation Fund to Invesco Discovery Large Cap Fund, a series portfolio of AIM Counselor Series Trust (Invesco Counselor Series Trust) (“ACST”), in Schedule A of the Agreement, effective December 20, 2024.

NOW THEREFORE, Schedule A to the Agreement is hereby deleted in its entirety and replaced with the following:
