Item 1.01  Entry into a Material Definitive Agreement

         On December 30, 2004, the Board of Directors of Edison International authorized the deferral of dividend
equivalents credited on Edison International stock options awarded in 2005 to the non-employee directors of
Edison International and its subsidiary Southern California Edison Company as part of their board compensation.
The deferrals are to be made under the Edison International Director Deferred Compensation Plan.
