thereof, could not be filed within the prescribed period.


     This is primarily due to the  acquisition of eighteen  NorthStar Funds from
Relistar Corp. by the Registrant's advisor, Pilgrim Investment,  Inc. Additional
work  required to combine  these funds into our family of funds  pushed back the
completion of management projects and assignments.
