Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On  August 31, 2010, Lewis R. Schumann resigned from the Board of Directors of Sandy Spring Bancorp, Inc.  The resignation was effective immediately.  Mr. Schumann’s resignation was not due to any disagreement with the Company or its management regarding any matter relating to the Company’s operations, policies or practices.
