SHAREHOLDER LOAN	5. SHAREHOLDER LOAN During the six months ended June 30, 2022, the Company received a shareholder loan in the amount of $25,000 to support its operations. The parties are currently negotiating the terms of the shareholder loan, although it is currently anticipated that such loan will be in the form of a convertible promissory note with interest accruing beginning after the date of this Report.

The entire disclosure for shareholders' equity and share-based payment arrangement. Includes, but is not limited to, disclosure of policy and terms of share-based payment arrangement, deferred compensation arrangement, and employee stock purchase plan (ESPP).
