Item 1.01Entry into a Material Definitive Agreement

 

On April 20, 2020, Hallmark Financial Services, Inc. (the “Company”), entered into a Paycheck Protection Program Promissory Note (the “PPP Note”) with respect to a loan in the amount of $8,311,000 (the “PPP Loan”) from Frost Bank. The PPP Loan was obtained pursuant to the Paycheck Protection Program (the “PPP”) of the Coronavirus Aid, Relief, and Economic Security Act (the “CARES Act”) administered by the U.S. Small Business Administration (“SBA”). The PPP Loan matures on April 20, 2022 and bears interest at a rate of 1.00% per annum. The PPP Loan is payable in 17 equal monthly payments of $461,722 commencing November 20, 2020, and a final installment of $462,101 at maturity. The PPP Loan may be prepaid at any time prior to maturity with no prepayment penalties.

 

The PPP Loan Documents contain various provisions related to the PPP, as well customary representations, warranties, covenants, events of default and other provisions. The PPP Loan is not secured by the Company and is guaranteed by the SBA. All or a portion of the PPP Loan may be forgiven by the SBA upon application by the Company accompanied by documentation of expenditures in accordance with the SBA requirements under the PPP. In the event all or any portion of the PPP Loan is forgiven, the amount forgiven is applied to outstanding principal.
