Each beneficial owner's proportionate ownership of the Shares is based on the number of shares of Centex common stock that he owns divided by the total number of outstanding shares of Centex common stock. Until the Nominee Agreement is terminated with respect to the Shares and certificates evidencing the Shares are issued in the name of the beneficial owners thereof, Stephen M.
