Item 7.01 Regulation FD Disclosure

CHDT Corporation (“Company”) issued a press release on November 16, 2009, announcing third quarter fiscal year unaudited, consolidated financial results. The press release is attached hereto as Exhibit 99.1.

In accordance with General Instruction B-2 of Form 8-K, the information set forth in this Item 2.02 and in Exhibit 99.1 shall not be deemed to be “filed” for purposes of Section 18 of the Securities and Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as expressly set forth by specific reference in such a filing.
