The Phantom Stock will be payable in shares of KOMG common stock at a date in the future as selected by the Purchaser. This transaction was executed pursuant to a 10b5-1 plan that was adopted on May 12, 2004. The securities were acquired from the 2002 Qualified Stock Plan on October 7, 2002 and converted into phantom stock on October 30, 2002. The Reporter had until November 6, 2002 to elect to convert his previously granted stock purchase right into phantom stock under the Komag Deferred Compensation Plan.
