QUARTZ ARRANGES $422,800 FINANCING  

March 5, 2004, Vancouver, BC - David S. Jennings, President and CEO of Quartz Mountain Resources Ltd. (TSX Venture: QZM, OTCBB: QZMF) announces that the Company has reached agreement in principle to privately place up to 1,510,000 Units at a price of $0.28 per Unit. Each Unit will comprise one common share and one share purchase warrant. Each warrant will be exercisable to purchase an additional common share at a price of $0.37 for a two year period from the date of issuance. Proceeds from the placement will be used for property investigation and working capital. Some members of Quartz Mountain's management or their associates will participate in the financing. The financing remains subject to TSX Venture acceptance.
