Explanation of Responses:

1. 7,929,820 shares of Common Stock were sold to Sentient USA Resources Fund II, L.P., a Delaware limited partnership ("Sentient"), pursuant to the terms of a Purchase Agreement by and between Jacqueline B. Mars as Trustee of the Trust, Jacqueline B. Mars individually, and Sentient, dated July 13, 2007.

2. (a) 0 shares of Common Stock are owned directly by the Trust, (b) 0 shares of Common Stock are owned indirectly by Jacqueline B. Mars as Trustee of the Trust, and (c) 0 shares of Common Stock are owned indirectly by Jacqueline B. Mars individually.

Remarks:

This Amendment is being filed 1) to add Jacqueline B. Mars as a reporting person; 2) to attach powers of attorney authorizing Joel A. Kobert, as attorney-in-fact of Jacqueline B. Mars individually and as Trustee of the Jacqueline Badger Mars Trust dated February 5, 1975, as amended (the "Trust"), to file this form; and 3) to remove any reference to the Jacqueline Badger Mars 2002 GRAT that was mistakenly included in the previous filing.
