Item 5.  Other Events

 

On December 6, 2001, DecisionLink, Inc. (the “Registrant”) filed a voluntary petition under Chapter 11 of the Federal Bankruptcy Code in the United States Bankruptcy Court, District of Nevada. As a result, financial information necessary for the filing of a complete and accurate Form 10-KSB for the twelve months ended December 31, 2001, could not be provided within the prescribed time period without unreasonable effort and expense. On March 6, 2002, the Registrant requested of the Securities and Exchange Commission (“SEC”), relief from its Exchange Act reporting obligations and further requested that the SEC take no action against it for not timely meeting its reporting obligations under the Securities Exchange Act of 1934, as amended, until such time as it is released from Chapter 11. Should the Registrant’s request for relief from its Exchange Act reporting obligations be accepted by the SEC, it will file on a quarterly basis with the SEC on Form 8-K its Monthly Operating Reports as filed with the U.S. Bankruptcy Court, District of Nevada.

 

To date, the Registrant’s request remains before the SEC for consideration; as such, the Registrant, and its wholly owned subsidiary FCI Environmental, Inc. (“FCI”), also operating under Chapter 11 of the Federal Bankruptcy Code, are herein filing their Monthly Operating Reports (the “Report(s)”) for the month and periods ended February 28, 2002.

 

The Registrant’s Report includes certain financial information for the period from December 6, 2001 to February 28, 2002.  Readers of the Registrant’s Report are hereby cautioned and made aware of the fact that the financial information contained in the Registrant’s Report includes the accounts of DecisionLink, Inc., the parent company, on a stand-alone basis. The Registrant’s Report does not include the accounts of any DecisionLink, Inc. subsidiaries or affiliated companies.

 

The FCI Report includes certain financial information for the period from December 20, 2001 to February 28, 2002.  Readers of the FCI Report are hereby cautioned and made aware of the fact that the financial information contained in the FCI Report includes the accounts of FCI on a stand-alone basis. Statement of Operations:

 

                                                Revenues — DLNK is a non-operating parent company thereby generating no revenues.

 

Expenses — Certain of DLNK’s obligations are undertaken for the benefit of its operating subsidiaries; as such, the related expense is charged to its subsidiaries. For example, DLNK is the obligor for the Las Vegas facility housing two of its wholly owned operating subsidiaries. As a result, the post-petition accounts payable for this lease is charged to DLNK while the related lease expense is charged to the wholly owned operating subsidiaries.

 

All salaries for employees that are primarily involved in corporate activities are, and historically have been, paid through a wholly owned subsidiary of DLNK. As all corporate activity related salary is allocated in support of the operating subsidiaries, no salary expense is recorded for DLNK.

 

Reorganization Items — Professional Fees — Comprised of expenses for bankruptcy counsel ($12,346), corporate counsel ($272). Although corporate counsel is employed on behalf of the debtor estate, certain of its activities are ordinary course in nature.

 

Explanation of Variances to Statement of Operations:

 

The forecasted amounts are preliminary in nature. These amounts were derived from a combined Chapter 11 bankruptcy budget including three of DLNK’s wholly owned subsidiaries. Of these subsidiaries, FCI Environmental, Inc. (“FCI”) filed a Chapter 11 bankruptcy petition on December 20, 2001 (Case No. 01-23229).

Other Assets — DLNK historically utilized and continues to utilize a single consolidating general ledger. As such, there was no necessity to formally allocate charges via intercompany accounts as these accounts are eliminated in consolidation. As a result, in order to report DLNK for bankruptcy purposes as a stand-alone entity, certain intercompany balances were estimated. These estimates are subject to change; however, in management’s opinion based on current circumstances, there is no market value for the amounts due to DLNK from subsidiaries.

Common stock — At December 6, 2001, common stock consisted of 500,000,000 authorized, $0.0001 par value shares of which approximately 158,500,000 shares were issued and outstanding.

A     Required to maintain insurance coverage.

 

B                These services were in the name of an affiliated insolvent company. They were being used solely for the benefit of the estate. Management believed that the estate would have been harmed if its employees did not have the benefit of these services.

D               The Company routinely sells Portable Hydrocarbon Analyzers (PHAs) to petroleum production companies, particularly in the Gulf Coast of the US, for use on offshore production platforms.  Each PHA must be specifically calibrated to the produced water from the platform(s) on which it will be used, and the crews from each platform must be trained in how to use this equipment.  The calibration and training are included in our sales price to the customer.  We employed Petroleum Laboratories of Lafayette, Louisiana to calibrate the PHA and to train the customer’s crews.

 

During November 2001 Dominion Exploration & Production Company purchased three PHAs which were shipped to Petroleum Laboratories about November 20 (two) and November 28 (one).  We previously paid Petroleum Laboratories the customary fee of $368 per unit for calibration.  Training had previously been scheduled for December 20 (two) and December 28 (one); for the customary fee of $282 per unit.

 

Check 1017 for $846 (3 times $282) was issued on January 7, 2002, payable to Petroleum Laboratories in order to complete the three sales to Dominion at a value of $6,375 each, or $19,125 total.

Inventory — the stated inventory balance is net of a $702,006 reserve to appropriately state inventories at the lower of cost or market.

 

Property and Equipment (Market Value) — market value has not been independently determined. Management estimates that the estate’s property and equipment, with a net book value of $83,168, to be worth $17,351.

 

Warranty Reserve ($41,201) and deferred Revenue ($55,236) — were not included as claims in the estate’s Schedule F — Creditors Holding Unsecured Nonpriority Claims, as these obligations will be fulfilled under a Chapter 11 going concern plan of reorganization.
