EXPLANATORY NOTE

This Post-Effective Amendment No. 146 to the Registration Statement of PIMCO Funds (the “Trust” or the “Registrant”) incorporates by reference the Prospectuses and Statement of Additional Information that are contained in the Trust’s Post-Effective Amendment No. 142, which was filed with the Securities and Exchange Commission on October 3, 2008. This Post-Effective Amendment No. 146 is filed to extend the effective date of Post-Effective Amendment No. 142 to December 22, 2008. This Amendment does not affect the currently effective prospectuses and statement of additional information for other series and classes of the Trust’s shares.
