Item 2.01 Completion of Acquisition or Disposition of Assets

StarInvest Group, Inc acquires StockTransfer Online, LLC, a privately owned professional transfer agency focuses on service and technology for 13,716,667 restricted common stock. The acquisition was consummated pursuant to the Purchase and Sale Agreement dated October 20, 2008.
