(b) On December 10, 2025, Kornelis (Neil) Smit, a member of the Board of Directors (the “Board”) of QUALCOMM Incorporated (the “Company”), informed the Board that he will be retiring from the Board effective as of the Company’s 2026 Annual Meeting of Stockholders. Mr. Smit will conclude his time on the Board after nearly 8 years of distinguished service.
