The Registrant is unable to file its annual report on Form 10-KSB within the prescribed time period because of the diversion of the Registrant's financial management resources to efforts surrounding negotiations, finalization approvals, and administrative matters related to a proposed partial or complete acquisition of the Company, or purchase of a portion of the Company's assets.
