Explanation of Responses:
1. Shares tendered to satisfy tax withholding obligations upon vesting of 2,333 shares of restricted stock.
2. One-fourth of the options vested on September 12, 2003 (the "First Vesting Date") and an additional one-fourth of the options vested on each of the first, second, and third anniversaries of the First Vesting Date.
3. One-third of the options vested on March 2, 2005 (the "First Vesting Date") and an additional one-third of the options vested on each of the first and second anniversaries of the First Vesting Date.
4. One-third of the options vested on March 2, 2006 (the "First Vesting Date") and an additional one-third of the options vested on each of the first and second anniversaries of the First Vesting Date.
5. One-third of the options vested on February 28, 2007 (the "First Vesting Date") and an additional one-third of the options vest on each of the first and second anniversaries of the First Vesting Date.
Remarks:
Mr. Galluzzo has given the Company notice of his resignation, effective March 17, 2008, in order to pursue a new employment opportunity. This form is being filed in three parts (1 of 3).
