Item 1.01.

Entry into a Material Definitive Agreement.

On March 31, 2023, The ODP Corporation entered into the Second Amendment (the “Amendment”) to its Third Amended and Restated Credit Agreement, dated as of April 17, 2020 (as amended by the First Amendment, dated as of May 20, 2022, the “Amended Credit Agreement”) with certain of its subsidiaries as borrowers and/or guarantors, the several banks and other institutions parties thereto as lenders and JPMorgan Chase Bank, N.A., as administrative agent. The Amendment replaces the LIBOR-based Eurocurrency reference interest rate option with a reference interest rate option based upon SOFR. Other than the foregoing, the material terms of the Amended Credit Agreement remain unchanged.
