If successfully accomplished, such reduction would serve to increase the number of shares available for the sale to finance the continuing operations of the Company. Accordingly, the board of Directors specifically authorized the exchange of presently outstanding rights to purchase 1,475,000 shares at prices between $0.165 and $1.33 for the rights to purchase up to 295,000 shares at a price of $0.03 per share. The transaction being reported on hereby reflects the acceptance by the filer of such exchange. The exchange was made on January 26, 2011.
